Terms of Service

These Terms of Service (“Terms”) apply to NRRW, the sample browser for macOS made by Ovotone, and to nrrwaudio.com. By downloading, purchasing or using NRRW, you agree to them.

In these Terms, “Software” means the NRRW application together with anything bundled inside it, including its sound fonts, chord MIDI files and documentation. Ovotone is based in Uithoorn, the Netherlands, and can be reached at support@nrrwaudio.com.

1. What NRRW is

NRRW is a desktop application for browsing, searching, auditioning and organizing audio and MIDI files that already exist on your Mac. It reads the folders you point it at, and it is intended for personal and professional creative use.

2. License

Subject to these Terms and to payment of the applicable fee, Ovotone grants you a personal, non-exclusive, non-transferable, revocable license to install and use the Software on the Macs you own or control, up to the number of activations stated at the point of sale and enforced by license activation.

The license is perpetual: the version you buy keeps working, and updates are included at no extra cost for as long as we publish them. The Software is licensed to you, not sold. Ovotone retains all rights not expressly granted.

3. Trial

NRRW is offered with a 14-day trial. The trial is complete — nothing is disabled, watermarked or limited during it — and the clock starts when you choose to begin the trial, not when you download the app. When it ends, the Software stops until a license is activated. We may change or end trial availability at any time; that does not affect a license you have already bought.

4. Purchases and payment

Licenses are sold through Freemius, which acts as the merchant of record. Freemius handles payment, invoicing and any VAT or sales tax that applies to your country. Prices are shown including tax where required.

A purchase also gives you a Freemius customer account, reached from our support page, where you can see your licenses, download invoices and update billing details. At checkout Freemius presents its own End User License Agreement, which covers the sale itself and is an agreement between you and Freemius. These Terms cover your use of the Software. Where the two differ about the transaction — payment, invoicing, and how a purchase dispute is handled — the Freemius agreement applies; where they differ about the Software itself, these Terms apply.

5. Refunds

NRRW is covered by a 14-day money-back guarantee, administered by Freemius. If within 14 days of purchase you run into a problem that makes NRRW unusable and we are unable to resolve it, we will refund you in full.

The guarantee covers faults, not evaluation. The trial is complete and unrestricted so that you can confirm NRRW does what you need before paying, so the guarantee does not cover a change of mind, a feature NRRW does not have, or a conflict with other software. After 14 days, and in cases the guarantee does not cover, refunds are at our discretion — if something is wrong, tell us first and we will try to put it right.

If you are an EU consumer, you normally have a statutory 14-day right of withdrawal for digital content. Checkout asks you to confirm that you want delivery to begin immediately and that you understand you give up that right once it has; the purchase cannot complete without that confirmation. The guarantee above applies regardless.

A refunded or charged-back license is revoked, and the Software will stop working the next time it verifies the license.

6. Your files and your work

You keep every right to your own files and to any work you make with NRRW. Ovotone claims no ownership of, and takes no license to, the audio, MIDI, projects or folders you open, organize or produce. NRRW processes those files locally on your Mac.

The content bundled with NRRW — its sound fonts and chord MIDI files — may be used freely in your own productions, including commercial ones. It may not be extracted and redistributed, resold or licensed on its own as sample or preset content.

7. What you may not do

• Copy, modify, translate or create derivative works of the Software, except where mandatory law allows it.
• Reverse engineer, decompile or disassemble the Software, or attempt to extract its source code, except to the extent applicable law expressly permits.
• Rent, lease, lend, sell, sublicense or redistribute the Software, or make it available over a network for use by several devices at once.
• Share, publish or resell a license key, or circumvent the licensing, trial or activation mechanisms.

8. License activation and verification

Activating a license sends your license key, a hashed device identifier and your Mac’s name to Freemius, as described in our Privacy Policy. NRRW re-verifies the license periodically. This check is best-effort: if your Mac is offline, NRRW continues to work. You can deactivate a license at any time to free the activation and move to another Mac.

9. Updates, availability and system requirements

NRRW requires macOS 13.0 or later and runs on Apple Silicon and Intel Macs. We may update the Software to add features, fix problems or keep it compatible with new versions of macOS, and we may modify or discontinue features at our discretion. Future versions may require a newer version of macOS than the one you originally installed on.

10. Third-party services

NRRW and this website rely on services we do not control — currently Freemius for sales and licensing, and Cloudflare for hosting. Freemius has its own terms and privacy policy, which apply to your purchase and your customer account. You are responsible for holding the necessary rights to any content you process with the Software.

11. Disclaimer and limitation of liability

The Software is provided as-is. We do not guarantee that it will meet your specific requirements, or that it will be uninterrupted, secure or free from errors. Metadata that NRRW detects — such as BPM and musical key — is provided for convenience and may be inaccurate.

Ovotone is not liable for any indirect, consequential, exemplary, incidental, special or punitive damages arising from your use of the Software, including loss of data, loss of projects or loss of profits. Your use of the Software is at your own risk, and you are responsible for keeping backups of your work. To the extent liability cannot be excluded, it is limited to the amount you paid for the Software in the twelve months before the claim.

Nothing in these Terms excludes or limits liability that cannot legally be excluded, including liability for death or personal injury caused by negligence, for fraud, or for the statutory rights of consumers.

12. Termination

We may terminate or suspend a license that is used in breach of these Terms, including license abuse. You may stop using the Software at any time. Uninstalling ends your use of it under these Terms; it does not cancel a license you have bought, and you can install and activate it again on a Mac you own. Sections that by their nature should survive termination — ownership, disclaimers, limitation of liability and governing law — continue to apply.

13. Changes to these Terms

We may revise these Terms from time to time. The current version is always posted at nrrwaudio.com/terms-of-service. If a revision is material, we will notify users through the software, this website or other appropriate means. Continuing to use the Software after a revision takes effect means you accept the updated Terms.

14. Governing law

These Terms are governed by the laws of the Netherlands, and disputes will be brought before the competent court in the Netherlands. This applies to these Terms; the Freemius agreement covering your purchase sets its own governing law and dispute procedure for the sale. If you are a consumer, this does not deprive you of the protection of the mandatory consumer law of the country where you live, or of your right to bring proceedings there.
